4. Payment Terms

• An initial deposit may be required to begin work
• Progress payments may be due at specified milestones
• Final payment is due upon project completion and delivery

4.2 Late Payments

Late payments may result in suspension of work and may incur late fees. We reserve the right to withhold deliverables until payment is received in full.

4.3 Refunds

Due to the custom nature of our services, refunds are handled on a case-by-case basis. Once work has commenced, refunds may be prorated based on work completed.

5. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information necessary for project completion
• Providing content, images, and materials in a timely manner
• Reviewing and providing feedback within agreed timeframes
• Obtaining necessary permissions and licenses for content provided
• Ensuring they have the right to use any third-party content or materials

6. Intellectual Property

6.1 Client Content

Clients retain ownership of their content, including text, images, logos, and other materials provided to us. By providing content, clients grant us a license to use such content for the purpose of providing our Services.

6.2 Work Product

Upon full payment, clients receive ownership of the final deliverables created specifically for them. We retain the right to use the work for portfolio and marketing purposes unless otherwise agreed.

6.3 Third-Party Materials

Any third-party materials, including fonts, stock images, or plugins, remain subject to their respective licenses. Clients are responsible for ensuring compliance with third-party license terms.

7. Warranties and Disclaimers

We warrant that our Services will be performed in a professional and workmanlike manner. However:

• We do not guarantee specific results, rankings, or performance metrics
• We are not responsible for third-party services, hosting, or platforms
• We do not guarantee that our Services will be error-free or uninterrupted
• We are not liable for delays caused by factors beyond our control

8. Limitation of Liability

To the maximum extent permitted by law, Framework Design's total liability for any claims arising from or related to our Services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Indemnification

Clients agree to indemnify and hold harmless Framework Design from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Client's use of our Services
• Client's violation of these Terms
• Client's violation of any third-party rights
• Content provided by the client

10. Termination

Either party may terminate a project agreement:

• With written notice if the other party breaches these Terms
• For convenience with reasonable notice and payment for work completed

Upon termination, clients are responsible for payment of all work completed up to the termination date.

11. Confidentiality

We agree to keep confidential any proprietary or confidential information disclosed by clients during the course of our Services. This obligation does not apply to information that is publicly available or independently developed by us.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our Services after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or our Services shall be resolved through binding arbitration or in the appropriate courts.
